Proposals & Project Agreements

Before work begins, we may provide a proposal, quotation, scope of work or other written description setting out the services, deliverables, pricing and expected timeline.

Where a project-specific agreement conflicts with these general Terms, the project-specific written agreement will normally take priority for that particular project.

Client Responsibilities

To allow projects to progress efficiently, clients are responsible for providing accurate information, approvals, access and materials where required.

  • Providing required website or platform access
  • Supplying content, images and brand assets
  • Providing timely feedback and approvals
  • Ensuring supplied materials can legally be used
  • Keeping login credentials secure
  • Providing accurate business information

Delays in receiving information, approvals or access may affect project timelines.

Fees & Payment

Pricing and payment terms will be provided in the relevant quotation, proposal or service agreement.

Deposits A deposit or upfront payment may be required before work begins.
Invoices Invoices must be paid within the payment period stated on the invoice.
Recurring Services Ongoing services may be invoiced monthly or on another agreed billing cycle.
Additional Work Work outside the agreed scope may require additional approval and charges.

We may pause work or restrict access to services where invoices remain overdue, subject to any applicable agreement or legal requirements.

Project Timelines

Any delivery dates or project timelines provided are estimates unless expressly agreed otherwise in writing.

Timelines may be affected by factors such as client feedback, third-party services, platform limitations, technical issues or changes in scope.

Revisions & Scope Changes

The number of revisions included in a project may be defined in the relevant proposal or service agreement.

Significant changes, additional functionality or work requested outside the original scope may be quoted and billed separately.

Intellectual Property

Ownership of project deliverables will depend on the specific service and agreement.

  • Client-provided content remains the client’s property
  • Third-party software remains subject to its own licence
  • Premium themes and plugins may require separate licences
  • Stock images may be subject to external licensing terms
  • Reusable internal tools may remain our property
  • Final deliverables may transfer after full payment

Unless otherwise agreed, clients are responsible for ensuring they have permission to use any content, trademarks, images, data or other materials supplied to us.

Third-Party Services

Some projects may rely on third-party products, platforms or services.

These third-party services operate under their own terms, pricing, availability and privacy policies.

We are not responsible for outages, changes, restrictions or discontinued functionality caused by third-party providers beyond our reasonable control.

SEO, advertising, conversion optimisation and digital marketing depend on many factors outside our direct control.

These may include search engine algorithms, competitors, market conditions, website authority, advertising platforms, customer behaviour and client budgets.

Important

Unless specifically agreed otherwise in writing, Web IT Solutions does not guarantee particular rankings, traffic levels, advertising results, enquiries, sales or conversion rates.

Acceptable Use

You must not use our website, services or deliverables for unlawful or abusive purposes.

  • Illegal activity
  • Fraud or deception
  • Malicious software distribution
  • Unauthorised system access
  • Copyright infringement
  • Harassment or abuse

Confidentiality

During a project, either party may receive confidential information about the other party's business, customers, technology or operations.

Cancellation & Termination

Cancellation or termination rights may depend on the specific project or recurring service agreement.

Either party may be able to terminate an ongoing arrangement by providing any notice required under the relevant agreement.

Fees for work already completed, committed third-party costs or other outstanding amounts may remain payable following termination.

Limitation of Liability

To the extent permitted by applicable law, Web IT Solutions will not be responsible for indirect, incidental or consequential losses arising from the use of our website or services.

This may include losses resulting from third-party platforms, outages, data loss, search engine changes, advertising platform decisions or circumstances outside our reasonable control.

Nothing in these Terms is intended to exclude or limit liability where doing so would be unlawful.

Force Majeure

Neither party will normally be responsible for delays or failures caused by events outside reasonable control.
